Terms of Service
The agreement between your organisation and us. Written to be read: if a clause matters to you, it is stated plainly rather than buried.

1Who this is between
This agreement is between NMPV UG (haftungsbeschränkt) (“we”, “us”) and the organisation that opens an account (“you”). Whoever accepts these terms confirms they may bind that organisation.
ResourcePlan is offered to businesses only. It is not a consumer service, and consumer withdrawal rights do not apply.
2What we provide
Access to ResourcePlan as a hosted service, in the plan you have chosen, for as long as you pay for it. Which features each plan includes is set out on the pricing page and may be enforced by the software.
We improve the product continuously. We may add features, and we may change or remove one — but not in a way that removes something material from your plan without at least 30 days’ notice, and if that change is unacceptable to you, you may terminate and receive a refund of the unused part of the term.
3Trial
New organisations get a 30-day trial of the full product. No card is required to start one. At the end of a trial, an organisation that has not subscribed becomes read-only: everything remains visible and exportable, but nothing further can be changed. We do not delete trial data when a trial ends.
4What it costs
Subscriptions are billed monthly in advance, per planned person — that is, each active person in your resource pool. People who merely sign in to look at plans are not charged for; only those being planned are.
Because the pool changes, the quantity on your subscription is synchronised with it daily. Adding people increases the next invoice for the part of the period they exist; removing them credits it the same way. You are never billed for a person who was not in the pool.
Prices exclude VAT, which is added where applicable. Payment is by card through our payment provider; we never see or store your card details.
5If payment fails
A failed payment does not switch off your account. We retry, and you keep full access during a grace period. If it is still unpaid after that, the organisation becomes read-only — nothing is hidden, nothing is deleted, export keeps working, and everyone can still sign in and see their plans. They simply cannot change them until the plan is settled. Paying restores writing immediately.
We think this is the only fair consequence: locking a customer out of their own planning data over a declined card punishes the wrong thing.
6Your data is yours
You own everything you put into ResourcePlan. We claim no rights over it beyond those needed to run the service for you, and we do not use it to train any model.
You can export your organisation’s complete data at any time. On termination we keep it for 30 days so you can retrieve it, then delete it. If you want it gone sooner, ask and we will.
Where that data includes personal data — which for a planning tool it always does — the Data Processing Agreement forms part of these terms.
7Acceptable use
You agree not to:
- put data into ResourcePlan that you have no right to process;
- attempt to reach another organisation’s data, or to probe the service for weaknesses without our written agreement;
- resell access, or run the service on behalf of a third party, without our agreement;
- use the API or MCP interface in a way that degrades the service for others. Rate limits apply and are published in the product.
If you find a security flaw, tell us before you tell anyone else and we will work with you. We will not pursue researchers who act in good faith.
8The AI features, and what they are worth
ResourcePlan includes an AI portfolio advisor and a plan-realism check. Both read a snapshot of your portfolio and return written analysis. They are advisory: they do not approve, reject, book, or change anything, and they are given no ability to act on your data.
Treat their output as a second opinion from a well-briefed colleague, not as a decision. Language models can be wrong, and they can be misled by text someone has typed into a project. You remain responsible for the decisions you take.
Running these features sends the snapshot to our AI processor, named in the privacy policy. If you would rather that never happened, do not use them — the rest of the product works without them, and nothing is sent unless someone runs one.
9Availability
We aim for continuous availability and will give notice of planned maintenance where we can. We do not offer a contractual uptime guarantee on the standard plans; if you need one, that is an Enterprise conversation and we will put it in writing rather than imply it here.
10Liability
Nothing here limits liability for death or personal injury caused by negligence, for intent or gross negligence, or anything else that cannot be limited by law (including under the Produkthaftungsgesetz).
Otherwise, for ordinary negligence we are liable only for breach of an obligation essential to the purpose of this contract, and then only for foreseeable damage typical of this kind of contract. Our total liability in any twelve-month period is capped at the fees you paid us in that period.
We are not liable for lost profits, or for decisions taken on the basis of output from the AI features.
11Ending it
You may cancel at any time, effective at the end of the period you have paid for. We do not refund partial months on cancellation, and we do not impose an exit fee or hold your data hostage.
We may terminate for material breach that is not remedied within 14 days of our asking, or immediately if your use endangers the service or other customers. If we terminate without cause, we refund the unused part of your term.
12Changes to these terms
We will give at least 30 days’ notice by email of any material change. If you do not accept it, terminate before it takes effect and we refund the unused part of your term. Continuing to use the service after that date means you accept the new terms.
13Law and jurisdiction
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction is our registered seat, to the extent permitted for contracts between businesses.
If a clause turns out to be invalid, the rest stays in force and the invalid one is read as the closest valid thing the parties would have agreed.
